These Terms of Service (“Terms”) govern your access to and use of SEVIA (“the Platform”), an AI-powered cervical cancer screening platform operated by SkyConnect Inc. (“we,” “our,” or “us”). By accessing or using the Platform, you agree to be bound by these Terms.
Medical Device Disclaimer
SEVIA is a decision support tool and does not replace professional medical judgment. Healthcare providers are solely responsible for diagnosis and treatment decisions.
1. Definitions
- “Platform” refers to the SEVIA application, website, and related services
- “User” refers to healthcare providers, administrators, and authorized personnel using the Platform
- “Patient Data” refers to health information and images processed through the Platform
- “AI Analysis” refers to automated assessments provided by our machine learning models
- “Healthcare Facility” refers to the medical institution or organization employing the User
2. Eligibility and Account Registration
2.1 Authorized Users
The Platform is intended exclusively for licensed healthcare professionals and authorized personnel working at registered healthcare facilities. By creating an account, you represent and warrant that:
- You are a licensed healthcare provider or authorized by your facility to use the Platform
- You have valid credentials and are in good standing with relevant medical boards
- You have the legal authority to enter into these Terms on behalf of your Healthcare Facility
- All information provided during registration is accurate and complete
2.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:
- Use strong, unique passwords and enable multi-factor authentication when available
- Immediately notify us of any unauthorized access or security breach
- Not share your account credentials with any third party
- Log out from your account at the end of each session
3. Platform Use and Restrictions
3.1 Permitted Use
You may use the Platform solely for:
- Conducting cervical cancer screening using VIA and HPV testing protocols
- Managing patient screening records and case workflows
- Accessing AI-powered analysis to support clinical decision-making
- Generating reports for patient care and public health reporting
- Training and educational purposes within your Healthcare Facility
3.2 Prohibited Activities
You agree not to:
- Use the Platform for any purpose other than its intended medical use
- Upload or transmit any data that violates patient privacy rights or applicable laws
- Attempt to reverse engineer, decompile, or extract the AI algorithms
- Interfere with or disrupt the Platform's infrastructure or security measures
- Use automated systems or bots to access the Platform
- Sell, resell, or commercially exploit the Platform without authorization
- Remove or alter any proprietary notices or labels on the Platform
4. AI Analysis and Clinical Decision Support
Decision Support Only
Our AI provides screening assistance and quality assessments. It does not constitute a medical diagnosis. Final clinical decisions must always be made by qualified healthcare providers.
4.1 AI Limitations
You acknowledge and understand that:
- AI analysis has inherent limitations and may produce false positives or negatives
- The Platform's accuracy depends on image quality and proper screening technique
- AI results should be interpreted in the context of the complete clinical picture
- Regular quality assurance and validation against expert review is essential
- The Platform may not be suitable for all patient populations or screening scenarios
4.2 Professional Responsibility
Healthcare providers retain full responsibility for patient care decisions. You agree to exercise independent professional judgment and not rely solely on AI assessments for diagnosis or treatment.
5. Data Privacy and Security
Your use of the Platform is subject to our Privacy Policy. Key obligations include:
- Obtaining appropriate patient consent before uploading health information
- Complying with HIPAA, GDPR, and other applicable data protection regulations
- Reporting any data breaches or unauthorized access within 24 hours
- Ensuring patient data is only accessed by authorized personnel
- Following your Healthcare Facility's data governance policies
6. Intellectual Property
All rights, title, and interest in and to the Platform, including AI models, software, algorithms, trademarks, and documentation, are and will remain the exclusive property of SkyConnect Inc. and its licensors. These Terms do not grant you any right to:
- Copy, modify, or create derivative works of the Platform
- Use SEVIA trademarks or branding without written permission
- Access the Platform to build competing products or services
- Transfer or sublicense your access rights to third parties
7. Limitation of Liability
Important Liability Limitations
To the maximum extent permitted by law, we are not liable for any clinical outcomes, diagnosis errors, or patient care decisions made using the Platform.
7.1 Disclaimer of Warranties
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI ANALYSIS WILL BE 100% ACCURATE.
7.2 Limitation of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES.
8. Indemnification
You agree to indemnify, defend, and hold harmless SkyConnect Inc., its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Platform, your violation of these Terms, or your violation of any rights of another.
9. Termination
We may suspend or terminate your access to the Platform immediately, without prior notice or liability, for any reason, including if:
- You breach any provision of these Terms
- Your Healthcare Facility's license agreement with us expires or is terminated
- We are required to do so by law or regulatory authority
- We discontinue the Platform or any part thereof
Upon termination, your right to use the Platform will immediately cease. All provisions that by their nature should survive termination shall survive.
10. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the United Republic of Tanzania, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms shall first be attempted to be resolved through good faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in Dar es Salaam, Tanzania.
11. Changes to Terms
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. Your continued use of the Platform following the posting of revised Terms means that you accept and agree to the changes.
